In fact, our Team has over 50 years of combined experience and represents our clients on all their important corporate matters, from corporate creation to raising equity, obtaining financing, sale, acquisition of real estate, or contracting and corporate governance, to mergers, acquisitions, and any exit events. Our clients come from a wide range of industries, including retail, manufacturing and distribution, ecommerce, telecom, real estate, direct response marketing, and banking. Some of our representative matters and experience include:

• Ongoing representation of Swiss Watch International, a privately held international internet company, in a series of acquisitions of internet watch and jewelry companies, including the sought-after Lucien Picard brand;
• Represented Solares, Inc., a leading distributor of oil, petroleum, gas and process equipment in the sale of its Florida Division;
• Advised First Foliage – one of the largest Hispanic nurseries in the Country – on every aspect of the sale of its business, including selection of investment bankers, designing a due diligence and auction process, drafting transactional documents, and closing the successful $21 million bid.  Our outstanding work led to our winning “2012 Deal of the Year” by the M&A Advisors, beating-out leading multi-national law firms;
• Counseling a historic Miami gaming concern in its $87 million refinancing;
• Advising on the special purpose entity and financing structure securing the $45 million tunnel-boring machine, the cornerstone of Miami’s Port Tunnel, to ensure its uninterrupted work;
• Negotiated and closed the 100% equity acquisition of a telecommunications company out of Chapter 11 on behalf of ForeRunner Telecom, Inc.
• Represented Employee Information Systems in the first-of-its-kind acquisition of a non-troubled company by  a company in Chapter 11, before its emergence from bankruptcy;
• Represented a local construction-supply company in its $14 million loan restructuring and real estate sale, ensuring its long-term business operations;
• Represented various clients in complex commercial leasing matters; 
• Both acquisition and sale of a distressed loans and loan portfolios by investors and financial institutions.
• Represented Miami World Wide, an international parts manufacturer and distributor in the negotiation and sale of its assets in a distressed Article 9 sale, and the negotiation and settlement of guaranties with the lender.
